The Public Corporation

The Public Corporation is intended to be the first course for students interested in careers as corporate lawyers or representing public corporations. This course focuses on corporate powers and liability, duties of the corporate board, and shareholder voting rights. It also introduces students to the regulation of public corporations under the securities laws, as well as to mergers and tender offers. Finally, the course covers the ethical obligations of corporate lawyers and satisfies the ethics requirement. This course (or Enterprise Organization) is a prerequisite for a number of advanced corporate law classes, including Corporate Criminality, Corporate Finance, International Finance, Mergers & Acquisitions, and Securities Regulation. No prior background in business is assumed. Students may not take both Enterprise Organization and The Public Corporation for credit.
